Terms of Payment: Unless otherwise agreed in writing, terms of payment are case, in U.S. dollars, in full, within 30 days from date of invoice or delivery to carrier. All orders are subject to the approval of the Seller's credit department, and Seller may require full or partial payment in advance. A finance charge of 1% per month will be charged on all overdue balances.
Warranty Policy: "AS-IS" where seller offers no guarantee on condition whatsoever; "E-OK " where Seller guarantees equipment is electrically functional; "R&G" where Seller guarantees the equipment has been dismantled, inspected, cleaned, lubricated and tested; "New or Unused" where seller guarantees equipment has never been installed AND energized. If the apparatus does not operate in accordance with the foregoing guarantees for a period of 60 days after shipment, the Seller will, at its option, rework or replace the apparatus or parts to cause it to so operate for no additional charge to Buyer. Unless otherwise stated in writing all equipment and apparatus is provided "AS-IS." The foregoing remedy shall constitute buyer’s sole and exclusive remedy and a fulfillment of all of Genassis’ liability with respect to the goods.
Shipping: Seller will not be responsible for loss, delay or breakage after having received in good order" receipts from the carrier. Claims shall be made by Buyer directly to carrier. Seller shall incur no liability for damage, shortages, or any other cause alleged to have occurred or existed at or prior to delivery of the equipment to the carrier, unless full details are entered on Buyers receipt documentation to the carrier.
Expenses: Buyer shall pay all of Seller's expenses, including reasonable attorney's fees, incurred by Seller in connection with any breach of the terms of this agreement, whether or not a lawsuit is filed. All disputes concerning this agreement or the sale of goods identified herein shall be resolved by a court of competent jurisdiction in the State of California, County of Santa Clara and buyer expressly agrees to the jurisdiction of the courts of California for said disputes. In addition thereto all disputes regarding this agreement or the sale of the goods identified herein shall be resolved by application of the laws of California.
Returns: Buyer has 14 days from date of receipt of materials to return materials to Seller. Buyer is responsible for shipping expenses for returned materials unless otherwise stated in writing by Seller. If Seller is notified within 14 days of material receipt that the materials are defective, Seller will replace defective materials at no cost. A restocking fee of 20% of the purchase price will be charged on return of materials that comply with Purchase Order and returned within 14 days of receipt of materials. All returned materials must be returned in the same condition as originally shipped from Seller.
Taxes: Buyer shall pay to the responsible agency all Local and State taxes including Sales Tax as applicable.
Material is sold commercial grade. Genassis does not sell Safety Related materials.
